App2Food — Restaurant Partner Terms of Service

These Restaurant Partner Terms of Service ("Agreement") govern the relationship between App2Mobile, LLC d/b/a App2Food ("App2Food," "we," "us," or "our") and any restaurant, food service business, or other entity ("Restaurant Partner," "you," or "your") that registers to use the App2Food platform.

By checking the acceptance box during registration, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.


1. DEFINITIONS

"Platform" means the App2Food digital ordering system, including the web-based ordering portal, mobile application, kiosk ordering system, administrative panel, and all associated tools and services made available to Restaurant Partners.

"Services" means all products and features offered by App2Food to Restaurant Partners, including but not limited to online ordering, delivery facilitation, loyalty program management, POS integration, marketing tools, gift card management, kiosk ordering, and customer success support.

"Order" means any food or non-alcoholic beverage purchase placed by a Customer through the Platform on behalf of a Restaurant Partner.

"Customer" means any end user who places an Order through the Platform.

"Payout" means the electronic funds transfer made by App2Food to the Restaurant Partner's designated bank account representing collected order proceeds, less applicable fees.

"Square" means Square, Inc., App2Food's payment processing partner.

"Dwolla" means Dwolla, Inc., App2Food's payment disbursement partner used to facilitate Payouts to Restaurant Partners.

"DoorDash" means DoorDash, Inc., App2Food's third-party delivery partner.

"Chargeback" means a forced reversal of a payment transaction initiated by a Customer's card-issuing bank or financial institution.


2. ELIGIBILITY AND REGISTRATION
2.1 Eligibility Requirements
  • Be a legally registered business entity operating in the United States;
  • Hold all required federal, state, and local licenses and permits;
  • Have a valid Federal Employer Identification Number (EIN);
  • Maintain an active business bank account in the United States;
  • Be at least 18 years of age if registering as an individual sole proprietor;
  • Have the legal authority to enter binding agreements.
2.2 Registration and KYB Verification

During registration, you will be required to complete App2Food's Know Your Business (KYB) verification process.

  • Legal business name and DBA (if applicable);
  • Physical operating address;
  • Federal Employer Identification Number (EIN);
  • Primary owner or authorized representative information;
  • Business bank account information for Payout purposes.
2.3 Electronic Acceptance

By checking the acceptance box during registration, you represent that you have read and agree to this Agreement and that all submitted registration information is accurate and complete.


3. DESCRIPTION OF SERVICES
3.1 Online Ordering

App2Food provides a customizable online ordering portal that allows Customers to browse menus, place orders, and make secure payments.

3.2 Mobile Application

App2Food makes your restaurant's ordering experience available through its mobile application for iOS and Android devices.

3.3 Delivery Services

App2Food facilitates delivery services through its partnership with DoorDash.

3.4 Kiosk Ordering

App2Food offers an in-restaurant kiosk ordering system that enables Customers to place and pay for orders directly at the kiosk.

3.5 Loyalty Program

App2Food provides an optional loyalty program for participating Restaurant Partners.

3.6 POS Integration

App2Food offers integration with select point-of-sale systems to automate order processing.

3.7 Marketing Services

App2Food provides optional marketing tools including promotional campaign support and customer communications.

3.8 Gift Cards

App2Food may support digital gift card issuance and redemption through the Platform.

3.9 Cloud Kitchen Support

App2Food supports virtual or cloud kitchen operators with ordering and payout infrastructure.

3.10 Customer Success

App2Food provides dedicated customer success support for Restaurant Partners.

3.11 Service Modifications

App2Food reserves the right to modify, suspend, or discontinue Services at any time with reasonable notice.


4. PAYMENT TERMS
4.1 Platform Fees

App2Food generally does not charge a standard monthly platform fee, setup fee, or commission on online orders unless otherwise agreed in writing.

4.2 Payment Processing

All Customer payments are processed through Square.

4.3 Payout Schedule

App2Food disburses Order proceeds according to the payout schedule communicated during onboarding.

4.4 Bank Account Authorization and Changes

All Payouts are made exclusively to verified bank accounts.

4.5 Payout Holds and Suspensions
  • Suspected fraudulent activity;
  • Excessive Chargebacks;
  • Regulatory requests;
  • Pending investigations.
4.6 Taxes

Restaurant Partner remains responsible for reviewing tax obligations and compliance with all tax laws.

4.7 Currency

All transactions are conducted in United States Dollars (USD).


5. CHARGEBACKS AND DISPUTES
  • Chargebacks are the responsibility of the Restaurant Partner.
  • App2Food may assist with disputes.
  • Excessive Chargebacks may result in enhanced monitoring or termination.
  • Refunds and negative balances may be deducted from future Payouts.

6. RESTAURANT PARTNER OBLIGATIONS
  • Maintain accurate menu information;
  • Fulfill Orders professionally and promptly;
  • Maintain required licenses and permits;
  • Do not sell age-restricted items;
  • Maintain internet connectivity and compatible equipment;
  • Protect account credentials;
  • Maintain accurate business information.

7. HARDWARE
  • Hardware may include tablets or kiosk systems.
  • Tablets purchased through App2Food may include limited warranty support.
  • Kiosk hardware is leased unless otherwise agreed.
  • Restaurant Partner is responsible for hardware maintenance and protection.
  • Damage, theft, or misuse may result in financial liability.
  • Returned hardware must include all accessories.
  • Restaurant Partner is responsible for removing data before return.
  • App2Food may push software updates and device management settings.

8. INTELLECTUAL PROPERTY
  • All intellectual property rights remain with App2Food.
  • Restaurant Partners receive a limited license to use the Platform.
  • Restaurant Partner grants App2Food rights to use logos and menu content.
  • Reverse engineering and unauthorized copying are prohibited.

9. CONFIDENTIALITY

Both parties agree to keep confidential all non-public business, financial, customer, and technical information.


10. DATA PRIVACY AND SECURITY
  • App2Food collects business and customer information to facilitate Services.
  • Data is used to process payments, facilitate Payouts, and improve services.
  • Data may be shared with Square, Dwolla, DoorDash, and service providers.
  • PCI DSS compliance standards are maintained.
  • Business information is retained for legal and regulatory requirements.
  • Industry-standard encryption and security monitoring are used.

11. ANNUAL REVIEW AND KYB RENEWAL

App2Food may conduct annual or event-based reviews to verify Restaurant Partner information and compliance.


12. TERM, TERMINATION, AND RENEWAL
  • The Agreement continues month-to-month unless terminated.
  • Restaurant Partner may terminate with written notice.
  • App2Food may terminate immediately for violations or excessive Chargebacks.
  • Pending Orders and Payouts remain subject to processing and offsets.
  • Data export requests may be submitted within 30 days after termination.

13. LIMITATION OF LIABILITY

APP2FOOD SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.


14. WARRANTY DISCLAIMER

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.


15. INDEMNIFICATION

Restaurant Partner agrees to indemnify and hold harmless App2Food and its affiliates from claims arising from use of the Platform or violations of law.


16. FORCE MAJEURE

App2Food shall not be liable for delays caused by events beyond reasonable control.


17. DISPUTE RESOLUTION AND ARBITRATION
  • Parties will first attempt informal resolution.
  • Disputes shall be resolved through binding arbitration.
  • Class action participation is waived.
  • Both parties waive the right to jury trial.

18. GOVERNING LAW

This Agreement is governed by the laws of the State of New Jersey.


19. GENERAL PROVISIONS
  • This Agreement constitutes the entire agreement between the parties.
  • App2Food may modify the Agreement with notice.
  • If any provision is unenforceable, the remaining provisions remain effective.
  • Failure to enforce a provision does not waive future enforcement rights.
  • Assignment requires written consent.
